1.
This contract shall not be a sale by sample even if
samples have been provided.
2. The seller may sue for any sum outstanding
under this contract even if property in the goods
has not passed to the buyer.
3. The payment is due 14 days after
receiving the bill. If the buyer fails to make any payment
when due then, without affecting any other rights which
it may have, The seller may:suspend deliveries until
paid; and/or require the buyer to pay any costs of storage
of the goods; and/or charge interest on any unpaid amount
at a rate of 4% above the base rate of Deutsche Bundesbank
from the day due date until payment in full is received;
and or resell any goods not yet delivered to the buyer.
4. The buyer may not withhold, make
deductions from or set off against payment for any reasons.
5. Delivery shall take place: if the
buyer collects the goods or if the goods are transported
by the seller (in person or delivery service), when
they are unloaded at the buyer’s premises.
6. Any deliveries are on the buyer’s
own risk and will be paid for by the buyer.
7. Any delivery dates, requested or
agreed, are estimates only. The seller may deliver early.
The delivery date is regarded as fullfilled, if the
goods are given to a delivery service one day before
thedelivery is due.
8. The buyer may not terminate the
contract by reason of any delay in delivery and /or
short delivery. If delay may be caused by the seller’s
suppliers or industrial disturbance, the seller has
the right to prolong the delivery period or to cancel
the contract.
9. Immediately on delivery the buyer
shall examine the goods and notify the seller within
8 days of any claims. The rejected goods shall be made
available for the seller, the seller may not pay for
any costs arisen. The seller has the right to replace,
fix or change the rejected goods.
which it may have in respect of this contract or the
goods.
10. Risk of the goods shall pass to
the buyer on delivery.
11. The property in the goods remains
at the seller until the goods are paid completely by
the buyer.
12. If the seller notifies the buyer
that the buyer is in default for more than 14 days in
the payment of any sum due to the seller or this contract
terminates for any reason then the buyer’s rights
to deal with the seller’s goods in the ordinary
course of business shall immediately terminate.
13.The goods ordered overleaf are handmade
fashion goods and may have a lower product quality than
industrial produced goods. They are fit for fashion
purposes only and are not functional or durable. The
buyer will inform customers of the fashion purpose of
the goods. The goods are
handmade and craft goods and are subject to imperfections,
blemishes and differences in colour and design . The
goods may differentiate from samples, website images,
flyer images, and so on. The buyer understands and accepts
such variations in quality. Damages caused by wrong
handling, such as smacking or dropping the goods will
not be reimbursed by the seller.
14. Additional terms and conditions
for sell or return: The goods remain the seller’s
property until they are paid for by the buyer. The buyer
will pay for a Cost which may arrise through damage
or theft, before the goods are sold. Shall the goods
by lend out for press or styling purposes, carries the
buyer the risk and the costs if damaged.
15. The buyer shall ensure that unless
the seller has given its prior consent any tradenames
or marks that the seller uses on or in connection with
the goods are not supplemented by any mark of the buyer,
interfered with or obscured.
16. The seller shall not be liable
in any way for loss, damage or expense arising directly
or indirectly caused
by the goods. |
